These Terms of Use govern access to and use of the EduX website, portal and related services operated by EduX Pty Ltd ABN 13 697 958 777 (“EduX”, “we”, “us”, “our”).
By accessing or using EduX, creating an account, or purchasing seats, products or services, you agree to these Terms.
1. Scope
These Terms apply to:
- the EduX website
- the EduX portal
- account registration and use
- seat purchases and portal access
- general use of EduX products and services
Additional terms may also apply, including:
- account registration terms
- licence terms for purchased resources or products
- any product-specific terms presented at checkout or within the portal
If there is any inconsistency, the more specific product, licence or checkout terms will prevail to the extent of that inconsistency.
2. Eligibility and authority
You must only use EduX if:
- you are at least 18 years old
- you are authorised to act for your organisation where you register or purchase on its behalf
- the information you provide is accurate, current and complete
You must provide accurate organisation details, including business and provider identifiers where requested.
3. Account registration and security
To access some parts of EduX, you must create an account.
You are responsible for:
- keeping login credentials secure
- maintaining the confidentiality of your account
- ensuring only authorised users access your account
- notifying EduX promptly of any unauthorised access or security concern
You must not:
- share login credentials outside your organisation
- allow unauthorised persons to use your account
- impersonate another person or organisation
- create false, misleading or incomplete account records
EduX may require identity verification, two-factor authentication, organisation verification or other reasonable security steps.
4. Purchases, seats and portal access
EduX offers seat-based access to products and services. Portal registration may be free, but product use requires seat purchase where applicable.
Unless expressly stated otherwise:
- seats are purchased in advance
- seats are added to the client portal after purchase
- seats may be assigned to users or students as needed
- unused seats remain available until used, subject to account status and ongoing service availability
- seat pricing, discounts and inclusions are those displayed at the time of purchase
- discounts apply only as stated for the relevant purchase
EduX may change pricing, features or product availability prospectively.
5. Payments and invoices
Payments are processed through EduX's approved payment systems. By purchasing, you authorise EduX and its payment providers to process the transaction.
EduX will provide transaction records, invoices or receipts through the portal and/or by email where applicable.
6. Refunds and cancellations
EduX products are generally sold on a prepaid, seat-based basis.
To the maximum extent permitted by law:
- EduX does not provide change-of-mind refunds
- once seats, compliance packs or digital products are purchased, they are generally non-refundable
- clients are responsible for using seats they purchase in advance
However, nothing in these Terms excludes, limits or modifies any rights or remedies that cannot lawfully be excluded, including rights under the Australian Consumer Law. Any “no refund” rule must be read subject to those non-excludable rights.
7. Client responsibility for compliance and decision-making
EduX products are designed to support provider processes, recordkeeping, testing, surveys, reporting and administration. They are not a guarantee of regulatory compliance, audit outcomes or legal sufficiency.
Clients remain fully responsible for:
- their own compliance with education, training, privacy and regulatory obligations
- student entry and enrolment decisions
- contextualisation, validation and implementation decisions
- the accuracy of their own records and uploaded information
- responses to regulators, audits, reviews and complaints
- obtaining independent legal, compliance or professional advice where needed
EduX makes no representation that use of the portal, products, reports or workflows will by itself satisfy any regulator, standard, framework or audit requirement.
8. Acceptable use
You must not:
- misuse the website or portal
- interfere with system security or performance
- upload unlawful, infringing, misleading or malicious material
- reverse engineer, copy, scrape or exploit the portal beyond permitted use
- use EduX to breach privacy, confidentiality or intellectual property rights
- use the system in a way that could damage EduX, its users or third parties
EduX may suspend or restrict access where misuse, security risks or breaches are suspected.
9. Intellectual property
Unless otherwise stated, EduX and its licensors own all intellectual property rights in the EduX website, portal, branding, content, software, workflows, reports and materials.
Use of EduX does not transfer ownership of those rights.
You must not reproduce, adapt, distribute, sublicense, publish or commercially exploit EduX materials except as expressly permitted by applicable licence terms or written permission.
10. Data and records
Clients are responsible for maintaining their own operational records and downloading or exporting data they wish to retain. EduX may provide reporting, export and record functions, but clients remain responsible for how they organise, store and rely on their records.
For closed or deregistered accounts, EduX may retain data for up to 6 months and then delete or de-identify it, unless a longer retention period is required by law or needed for disputes, investigations or security purposes.
11. Availability and service changes
EduX may modify, suspend, improve or discontinue features, products or parts of the platform from time to time. We aim to provide reliable service, but do not guarantee uninterrupted or error-free availability.
Scheduled maintenance, updates, outages, third-party failures or events outside our control may affect access.
12. Third-party services and links
EduX may integrate with or link to third-party services, payment gateways, websites or frameworks. EduX is not responsible for third-party content, services or policies.
13. Liability
To the maximum extent permitted by law, EduX excludes liability for indirect, incidental, special or consequential loss, including loss of profits, revenue, data, opportunity, reputation or business interruption.
Where liability cannot be excluded, EduX's liability is limited to the minimum extent permitted by law and, where applicable, to resupply of the relevant services or the amount paid for them.
Nothing in these Terms excludes any non-excludable statutory guarantees or rights.
14. Indemnity
You indemnify EduX against loss, damage, claims, costs and liabilities arising from:
- your breach of these Terms
- misuse of the portal
- unlawful or unauthorised use of data uploaded by you
- infringement of third-party rights caused by your content or conduct
- your organisation's non-compliance or regulatory issues not caused by EduX's own breach of law
15. Privacy
Use of personal information is governed by the EduX Privacy Policy.
16. Suspension and termination
EduX may suspend or terminate access where:
- these Terms are breached
- payment is overdue
- security or fraud concerns arise
- false information has been provided
- the account is inactive, cancelled or closed
- continued access would expose EduX or others to legal, operational or security risk
Termination does not affect accrued rights, outstanding payment obligations, confidentiality, intellectual property protections, or provisions intended to survive termination.
17. Governing law
These Terms are governed by the laws of Victoria, Australia. The parties submit to the courts of that jurisdiction, unless applicable law requires otherwise.
